Terms and Conditions

1. Eligibility for Grant Applicants: Submitting a nomination (“Nomination”) for an eligible non-profit organization as outlined below in these Terms and Conditions in the 2016 Deluxe Short + Tweet Grants Program (the “Grants Program”) is open only to legal residents of the 50 United States (or the District of Columbia) who are at least 21 years of age at the time of applying (“Applicants”). Employees and non-employee workers of Deluxe Corporation, Deluxe Corporation Foundation, Fast Horse Inc., and their respective parents, subsidiaries, affiliates, and agents, and any agencies or other companies involved in the development or execution of the Grants Program or production or distribution of Grants Program materials, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such person are not eligible. Applicants who work for or are otherwise associated with the nominated non-profit organization are eligible to submit Nominations.
The Grants Program is subject to all applicable federal, state and locals laws and regulations and is void where prohibited by law.

2. Eligibility of Non-Profit Organizations to Receive a Grant: To be eligible to receive a grant from the Deluxe Corporation Foundation through the Grants Program, recipient organizations must be exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, classified as public charities, and not classified as type III non-functionally integrated supporting organizations. They also must have $3 million or less in annual gross revenue. Past Short + Tweet grant recipients are not eligible for the 2016 Short + Tweet program. All eligibility requirements will be subject to verification before any grants are awarded. Sponsor/Administrator reserves the right to make all decisions related to eligibility verification. Accepting any grant awarded as part of the Grants Program is contingent upon fulfilling all requirements set forth herein and as determined by Sponsor/Administrator in its sole discretion, which is final and binding in all matters related to this Grants Program.
The following non-profit organizations shall not be eligible to receive grants regardless of having 501(c)(3) public charity status: lobbying or political organizations, sponsorship organizations, fraternal organizations, religious programs or organizations, or any organization that supports or undertakes controversial, immoral, offensive, or otherwise objectionable activities, which shall be determined by Sponsor/Administrator in its sole discretion.

3. Sponsor/Administrator: Deluxe Corporation Foundation, 3680 Victoria St N, Shoreview, MN, 55126.

4. Agreement to Terms and Conditions: Participation in the Grants Program through submission of a Nomination constitutes Applicant’s full and unconditional agreement to these Terms and Conditions and Sponsor/Administrator’s decisions, which are final and binding in all matters related to this Grants Program.

5. Timing: The Nomination period for the Grants Program will begin on October 10, 2016 at 12:00 a.m. Central Time (“CT”) and will end on October 21, 2016 at 11:59 p.m. CT (the “Entry Period”). The computer clock of Sponsor/Administrator’s contractor is the official time-keeping device for submission in the Grants Program.

6. How to Nominate: During the Entry Period, Applicants may tweet a grant “application” via Twitter on behalf of an eligible non-profit organization that includes the name of the non-profit organization being nominated, any reasons for nominating that organization, and the hashtag “#DeluxeCares” in the tweet. Each Applicant may only submit one Nomination per non-profit organization and each grant “application” is limited to 140 characters per tweet. Applicants may nominate more than one non-profit organization through separate Nominations. Any organization that is a parent, subsidiary, or affiliate of Deluxe Corporation, Deluxe Corporation Foundation, Fast Horse Inc., or any entity in which Deluxe Corporation, Deluxe Corporation Foundation, or Fast Horse Inc. has an ownership or other financial interest, are not eligible. By submitting a nomination, each Applicant confirms that his or her application complies with the requirements and Terms and Conditions of this program. Sponsor/Administrator, in its sole discretion, will determine whether applicants comply with these Terms and Conditions and may disqualify any application or submission for any reason whatsoever.

7. Nomination Content Restrictions: Applications submitted on Twitter must be Applicant’s own work, must be in English, and must comply with Twitter’s character limitations and any other rules or guidelines regarding the successful publication of a tweet. Applications must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement. Applications must not disparage Sponsor/Administrator or any other person or party affiliated with the promotion and administration of the Grants Program. Applications must not contain material that is inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous, that promotes bigotry, racism, hatred or harm against any group or individual, or that promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age. Applications must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where Submission is created. Sponsor/Administrator will make all determinations related to whether applications comply with these Grants Program restriction requirements and reserves the right, in its sole discretion, to disqualify any application for any reason whatsoever.

8. Grant Recipients: Beginning on October 22, 2016, a panel of judges, determined by Sponsor/Administrator in its sole discretion, will select ten (10) eligible non-profit organizations to receive one of ten (10) grants, the amounts of which are listed below in these Terms and Conditions. The grant recipients shall be chosen from all eligible organizations nominated through submission of eligible nominations to receive a grant. Selection of grant recipients will be based on Sponsor/Administrator’s determination, in its sole discretion, of which eligible organizations best support causes embodied in Deluxe Corporation Foundation’s grant focus areas: economic empowerment, crisis, and arts, or other qualifying community interests as determined by the Sponsor/Administrator in its sole discretion. Sponsor/Administrator’s determination of grant recipients will include a due diligence process. In evaluating potential recipients, Sponsor/Administrator shall determine in its sole discretion what information it chooses to consider. Sponsor/Administrator may request information from potential grant recipients during the evaluation process and Sponsor/Administrator reserves the right to disqualify any potential recipient if the information requested is not provided. Sponsor/Administrator reserves the right to make all decisions and determinations, in its sole discretion, in choosing the organizations that will receive a Deluxe Short + Tweet Grant.

To be awarded a Short + Tweet Grants Program grant, a recipient organization must consent in writing to Deluxe Corporation Foundation and Deluxe Corporation using its name, likeness, and trademark on online and social media platforms, as well as allowing interested media outlets to publish stories about the recipient organization and/or the recipient organization’s involvement in the Grants Program.

9. Grants: The Sponsor/Administrator plans on awarding $100,000 in total grants through the Deluxe Short + Tweet Grants Program. Eligible organizations chosen by Sponsor/Administrator to receive a grant shall only be entitled to receive one grant from the Grants Program. Sponsor/Administrator reserves the right to make all decisions regarding which organizations are selected as grant recipients and may base its decisions on any information it chooses. Ten (10) grants each worth $10,000 will be awarded to eligible organizations. There will be no substitution, exchange, transfer, or assignment, of the grant by grant recipient and grant recipient must use the grant for purposes described in section 501(c)(3) of the Internal Revenue Code. Sponsor/Administrator reserves the right to substitute grant for one of equal, lesser, or equivalent value. Grant recipient is responsible for all taxes and fees associated with grant receipt and/or use. Sponsor/Administrator is not responsible for any conditions or limitations related to use or value of grant, and by accepting grant, recipient agrees to accept and be subject to any such applicable conditions or limitations.

10. Publicity and Copyright: Except where prohibited, submission of a Nomination by Twitter constitutes Applicant’s consent for Sponsor/Administrator and its agencies, representatives and those working on its behalf to use Applicant’s tweet, for advertising, marketing or promotional purposes in any media, worldwide, without further consent or consideration.

Without limiting the generality of these Terms and Conditions, Applicant shall irrevocably grant, transfer, convey and assign to Sponsor/Administrator the entirety of the rights in and to the Nomination and all renewals and extensions of copyright, and the right to secure copyright registrations thereto in perpetuity including, without limitation, the rights to use the Nomination for any and all purposes in any and all media whether now known or hereafter developed, on a worldwide basis, in perpetuity. Applicant also shall irrevocably grant, transfer, convey and assign to Sponsor/Administrator the entirety of the rights in and to any derivative and/or copyrightable works created in connection with or related to this Grants Program, Applicant’s likeness, or acceptance of or related to any grant.

Other provisions in these Terms and Conditions notwithstanding, and to the extent not encompassed by the previous paragraph, submitting a Nomination constitutes Applicant’s consent to give Sponsor/ Administrator a royalty-free, irrevocable, transferable, assignable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such Nomination in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. If requested, Applicant will sign documentation that may be required for Sponsor/Administrator or its designees to make use of the non-exclusive rights applicant is granting to use the Nomination or any portion thereof. Sponsor/Administrator is not responsible for lost, late, incomplete, invalid, un-intelligible or misdirected Nominations, which are disqualified in Sponsor/Administrator’s sole discretion.

Applicant accepts and acknowledges that Sponsor/Administrator shall not be obligated to use the Nomination or any information related to Applicant and that Sponsor/Administrator in its sole discretion shall have the right to refrain from using any such information. Sponsor/Administrator shall not incur any liability whatsoever to the extent Sponsor/Administrator chooses to refrain from any exploitation of its rights hereunder. Applicant will indemnify Sponsor/Administrator, Released Parties (as defined in Section 12 below) and any licensee of Sponsor/Administrator against all claims, damages, liabilities, and expenses (including reasonable counsel fees and legal expenses) arising out of any breach of these terms.

11. General Conditions: If for any reason, the Grants Program is not capable of running as planned by reason of infection by virus, bugs, worms, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole determination or opinion of Sponsor/Administrator, may corrupt or affect the administration, operation, security, fairness, integrity or proper conduct of the Grants Program, Sponsor/Administrator reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Grants Program, and select grant recipients, from the Nominations received prior to the action taken or in other such manner as deemed fair and appropriate by Sponsor/Administrator. Sponsor/Administrator reserves the right in its sole discretion to disqualify any individual or organization it finds to be tampering with the entry process or the operation of the Grants Program or to be acting in violation of these Terms and Conditions, or in any disruptive manner. Any attempt by any person to undermine the legitimate operation of this Grants Program may be in violation of criminal and civil law, and, should such an attempt be made, the Sponsor/Administrator reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsor/Administrator’s failure to enforce any term of these Terms and Conditions shall not constitute a waiver of that provision.

12. Release and Limitations of Liability: Except where prohibited, by participating in the Grants Program, Applicant agrees to release and hold harmless Deluxe Corporation, Deluxe Corporation Foundation, Fast Horse Inc., and their respective related companies, parents, subsidiaries, affiliates, agents and agencies, promotional partners, prize partners, and their officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action arising out of participation in the Grants Program or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Grants Program; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) errors in the administration of the Grants Program or the processing of submissions; (e) late, lost, or undeliverable mail; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from applicant’s participation in the Grants Program. Applicant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Grants Program and in no event shall the Released Parties be liable for attorney’s fees. Applicant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

13. Disputes: Applicant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Grants Program or any grant or its associated recipient selection and/or notification (the “Grants Program Administration”) shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of Minnesota or the appropriate Minnesota State Court located in Hennepin County, Minnesota; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Grants Program, but in no event attorneys’ fees; and (c) under no circumstances will Applicant be permitted to obtain awards for and Applicant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, or the rights and obligations of the Applicant and Sponsor/Administrator in connection with the Grants Program and Grants Program Administration, shall be governed by, and construed in accordance with, the laws of the State of Minnesota, without giving effect to any choice of law or conflict of law rules (whether of the State of Minnesota or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Minnesota.
